These Terms and Conditions govern your use of scrum-consultants.com and any services provided through the website. By accessing the site or engaging our services, you agree to be bound by these terms.

Definitions

For the purpose of these Terms:

  • Agreement – The written contract, proposal, or related documentation outlining the scope and conditions of services.
  • Client Content – Any materials supplied by the client for use in a Project, including documents, data, or media.
  • Deliverables – The work products specified in the Agreement.
  • Company Tools – Internal tools, templates, frameworks, and software used in delivering Services.
  • Final Deliverables – The completed output provided to the client under the Agreement.
  • Project – The defined engagement or assignment between the parties.
  • Services – Consulting, advisory, or related professional services provided by scrum-consultants.com.
  • Third-Party Materials – Content or services owned or provided by external parties.

Service Delivery

Services are delivered according to the milestones and timelines defined in the Agreement. We apply professional judgment and commercially reasonable efforts in performing our work.

Proposal and Scope

Proposals remain valid for thirty (30) days from the date issued. If not accepted within this period, we may revise and resubmit them.

Fees, Expenses, and Taxes

Unless clearly included in the Agreement:

  • Third-party costs are billed separately.
  • Approved expenses may be invoiced at cost.
  • Clients are responsible for applicable taxes related to the Services.

Payment Terms

Invoices are payable within five (5) days of issuance unless otherwise agreed in writing. Payments may follow a milestone-based schedule as outlined in the Agreement.

Scope Modifications

All change requests must be submitted in writing.

Minor changes that do not materially affect cost or timelines may be handled within the existing Agreement. Major changes that impact scope, delivery schedule, or budget require a new or supplemental written agreement.

Revised proposals related to scope adjustments remain valid for fourteen (14) working days unless stated otherwise.

Delays and Unforeseen Events

If delays arise from the client’s failure to provide required materials, approvals, or decisions, timelines will be extended accordingly.

If delays occur on our side, we will inform the client promptly and take reasonable steps to reduce disruption.

Events beyond either party’s reasonable control may extend deadlines and will not be considered a breach.

Review and Acceptance

Deliverables undergo internal checks before submission.

Clients have seven (7) working days to review and provide written feedback. Issues identified within the agreed scope will be addressed within a reasonable timeframe.

If no feedback is received within the review period, Deliverables may be considered accepted.

Client Responsibilities

Clients must provide lawful, accurate, and ready-to-use materials required for the Project.

Unless otherwise agreed, the client is responsible for proofreading and final verification of content. Timely decisions regarding third-party services are also required.

Attribution and Portfolio Use

Unless otherwise agreed in writing, we may include a discreet accreditation in digital Deliverables and reference completed Projects in our portfolio or promotional materials in a factual manner.

Neither party shall unreasonably prevent accurate references to completed work.

Confidential Information

Both parties agree to maintain the confidentiality of non-public information shared during the Project. This obligation does not apply to information that is publicly available or lawfully obtained from other sources.

Disclosure to third parties is permitted only where necessary for the provision of Services or as required by law.

Independent Contractor Relationship

scrum-consultants.com operates as an independent contractor. These Terms do not create a partnership, joint venture, employment relationship, or exclusivity unless expressly agreed in writing.

We may engage subcontractors while remaining responsible for the Services provided.

Limitation of Liability

To the extent permitted by applicable law, Services are provided “as is.” Our total liability in relation to any claim is limited to the amount paid for the specific Services giving rise to that claim.

Intellectual Property Rights

Upon full payment, the client receives a non-exclusive, perpetual, worldwide license to use the Final Deliverables as defined in the Agreement.

Company Tools and proprietary methodologies remain the property of scrum-consultants.com unless explicitly transferred in writing. Restrictions on modification or derivative works may apply as specified in the Agreement.

Support Services

Support or maintenance services are provided only if expressly agreed and may be billed separately.

Any warranty may become void if Deliverables are modified by third parties without our involvement.

Amendments to Terms

We may update these Terms and Conditions at any time. The version published on scrum-consultants.com governs current use. Continued use of the website or Services indicates acceptance of the revised terms.
